What is a playbook?
A playbook is a useful tool for legal and business teams to streamline their contract review and negotiation process. Ultimately, a playbook enables the right people in your organisation to quickly review a contract in a standardised and consistent manner. Ideally, playbooks should set out (1) what your company's standard contracting positions are, (2) what terms can be negotiated and how and (3) when and who to escalate a contract to for final approval.
How can I use it?
If you receive any requests from a counterparty to change the Terms section of oneDPA, use this playbook to provide them a 'canned response' as to why oneDPA's terms are non-negotiable. These detailed and robust explanations should resolve the counterparty's concerns, and allow you to close out your deal quickly.
Just to flag - these canned responses have been tailored to address concerns when the GDPR applies to the DPA. If data protection laws in another jurisdiction apply to your activity, we recommend tweaking these responses to fit your local requirements.

This playbook gives you what you need to ensure the counterparty is comfortable with the content of oneDPA; potential issues, fallback positions and canned responses for negotiable content in the Variables tables aren't included. However, we hope this document provides you with an easy-to-use baseline to continue building on this idea and empower your team to handle other requested changes.
